摘 要
随着世界经济全球化的发展趋势,跨国并购已成为了全球直接投资的主要方
式。中国二十多年来的改革开放和经济的持续发展,以及加入 WTO 等行动,促
进了外资通过并购国内企业的方式,来迅速的进入和占领中国市场,或利用中国
的各种资源来降低成本,但在不同的体制和文化的影响下,摆在外资并购国内企
业面前的,并不是一条平坦的大道。本文依据理论和实际相结合的原则,从对外
资并购我国企业的动机分析、并购的风险与预防、并购整合的主要问题和对策,
到外资并购企业的未来的发展趋势,系统的勾画出了一个外资并购我国企业的发
展轮廓。全文重点围绕并购成功的关键环节—并购整合,在总结实际工作经验的
基础上,提出了一个以管理制度本,以企业文化为辅的整合管理模型,并以案例
作为该整合管理模型应用的范例,同时,还提出了目前并购整合企业运转中,仍
待解决的一些管理问题。

Along with the tendencies of economic globalization in the word, multinational
company merge and acquire Chinese corporation has become main way for foreign
direct investment (FDI). For the policies of reform opening and continual economy
development in China in more than twenty years, and the action that China enter into
the Word Trade Organization, promoting foreign capital merge and acquire Chinese
corporation to enter and occupy Chinese market, or use various resource of China to
reduce their cost, but under the influence of different system and culture, the future
way for foreign capital merge and acquire Chinese corporation is not smooth.
Combining theories and practices, this paper has a study on motivation of foreign
capital M A Chinese corporation, merger risk and prevention, the main problem in
merger integration and measure, and the development tendency for merged corporation,
draw an outline of the development that foreign capital M A Chinese corporation
systemically. This paper surround the key phase for M A ─ merger integration, base
on the summarize to experience of practice, put forward a management pattern that on
the basis of management systems and assisted by corporate culture, then, give a case as
example for apply to the pattern. At the same time, this paper also bring forward some
questions that still emerge from operate merged corporate and wait for settlement.
