A written contract will usually be made to further specify the rights and obligations of both parties for legal purposes. A contract is not only an important part of business, but also useful in providing for a common understanding between buyer and seller, thus minimizing disputes. When a dispute does occur, the contract can help provide for a fair settlement. Therefore, the importance of a contract in an international sales transaction cannot be underestimated. Often it is the only document between the parties to which they may refer for clarification of mutual responsibilities, resolution of disputes, in the event of disagreement. Any party who fails to fulfill his obligations will have to make compensation for the other party’s losses. As far as the contents are concerned, contracts in international trade may fall into a great variety of categories, such as shipping contract, purchasing contract, agency contract, contrac
