摘要 随着我国现代企业制度的建立，股权激励也开始引入我国并迅速发展。但 是，由于我国国情的不同，市场环境和法律制度等不够完善，此外，由于股权 激励在我国实践运用的时间并不长，在具体设计激励条款时，大部分都是直接 照搬欧美的期权模式，考虑我国市场特点较少，造成我国股权激励效果不佳或 者本身就背离激励初衷。 在我国，研究股权激励的专著、文献虽已不少，但重点集中在上市公司和 经理层激励两个方面，其中又有不少文献以介绍国外的做法为主，结合我国实 际情况研究创业板企业股权激励的文章非常少。相对于西方发达国家而言，我 国创业板企业数量较少，所以在我国，除了研究大公司的股权激励外，更应把 研究的重点放在结合我国的具体国情，研究创业板企业的股权激励上。目前关 于我国创业板企业如何实施股权激励的研究还非常少，而专注于稳定和激励这 些企业的骨干人员的研究就更少，这与创业板企业在我国经济发展中所起的重 要作用是不相称的。 本文将从创业板公司股权激励的特征作为切入点,结合国外创业板企业股 权激励实施的方法及效果，并对创业板上市前与上市后激励的目的不同，展开 分析，最后结合创业板自身的情况，设计出符合我国国情的创业板企业股权激 励方案。本文的意义就在于深刻认识创业板股权激励的本质,发挥股权激励的正 面效应,规避其陷阱,惟其如此,才能达到股权激励的目的。 关键词：创业板企业 股权激励 委托代理 虚拟股份 Abstract With the establishment of modern enterprise system, equity incentives have been introduced and developed quickly in China.
