（3）PartyAhasnotenteredintoanyagreementorundertakingwhichwouldrestrictitsabilitytomaketheinvestmentinPartyBortoperformitsobligationsunderthisagreement；
（4）TheinvestmentamountpaidPartyAisfreefromanylien,encumbranceoradverseclaim；
（5）PartyAhasmadeallnecessaryinquiriesandinvestigationswithrespecttoPartyBandhasobtainedallnecessaryinformationabo
