ThisContractisenteredintoasof[EffectiveDate],byandbetween:

[LicenseeName],a[CompanyType]incorporatedin[LicenseeCountry],havingitsprincipalplaceofbusinessat[LicenseeAddress](Licensee),and

[LicenseeName],a[CompanyType]incorporatedin[LicensorCountry],havingitsprincipalplaceofbusinessat[LicensorAddress](Licensor).

WHEREAS,LicensoristheownerorholdstherighttolicensetheIntellectualPropertydescribedherein(IP);

WHEREAS,Licenseedesirestoobtaintherighttodevelop,manufacture,market,andsellcertainMerchandisebasedupontheIPownedorcontrolledbyLicensor(Merchandise);

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.IntellectualPropertyLicensed.LicensorherebygrantstoLicensee,andLicenseeherebyaccepts,anon-exclusive,non-transferable,worldwidelicense(inperpetuityforthetermofthisAgreement),underLicensorscopyright,trademark,andrelatedrightsintheIP,solelyforthepurposeofdeveloping,manufacturing,marketing,andsellingMerchandiseascontemplatedherein.ThespecificdetailsoftheIPareattachedheretoasExhibitAandformanintegralpartofthisAgreement.Thelicenseshallnotincludeanyrighttousethename(s)ofthecreatorsoftheunderlyingwork(s)associatedwiththeIP,exceptasmaybenecessaryforproductidentificationandmarketingpurposesandasexpresslyauthorizedbyLicensorinwriting.

2.Territory.Thelicensegrantedhereinisworldwideinscope,coveringallcountriesandterritorieswithoutlimitation.

3.Term.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforaperiodof[Number]years(theInitialTerm),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.UpontheexpirationoftheInitialTerm,thisAgreementmayberenewedforsuccessive[Number]-yearterms(eacha
