ThisCommercialContract(theContract)isenteredintoasof[Date](theEffectiveDate)byandbetween[CompanyName],a[LegalEntityType]incorporatedunderthelawsof[Country],withitsprincipalplaceofbusinessat[CompanyAddress](theSeller),and[BuyersName],a[LegalEntityType]incorporatedunderthelawsof[Country],withitsprincipalplaceofbusinessat[BuyersAddress](theBuyer).
Recitals
WHEREAS,theSellerisengagedinthebusinessof[briefdescriptionofSellersbusiness],andhasproductsorservicesthattheBuyerdesirestopurchase;
WHEREAS,theBuyerdesirestopurchasetheproductsorservicesoftheSeller;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.SaleofGoods/Services
1.1TheSellerherebyagreestosellandtheBuyerherebyagreestopurchasethefollowinggoods/services(theGoods/Services)onthetermsandconditionssetforthinthisContract:

1.2TheSellerwarrantsthattheGoods/ServicesshallconformtothespecificationsandqualitystandardssetforthinthisContract.
2.PriceandPayment
