ThisContractAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[PartyAName],a[PartyAType](hereinafterreferredtoasPartyA),and[PartyBName],a[PartyBType](hereinafterreferredtoasPartyB),collectivelyreferredtoastheParties.
RECITALS
WHEREAS,PartyAdesirestoengagein[describethenatureofthebusinessortransaction]withPartyB;and
WHEREAS,PartyBdesirestoenterintosuchengagementwithPartyA;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:
1.DescriptionoftheEngagement
1.1ThePartiesagreetoengagein[describethenatureofthebusinessortransaction],whichshallincludethefollowingspecifictermsandconditions:

2.TermandTermination
2.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[NumberofYears/Months],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
2.2EitherPartymayterminatethisAgreementupon[NoticePeriod]writtennoticetotheotherParty,providedthatsuchterminationisnotforabreachofafundamentaltermofthisAgreement.
2.3UponterminationofthisAgreement,thefollowingprovisionsshallsurvive:[listanyprovisionsthatsurvivetermination,suchasconfidentiality,non-solicitation,andpaymentobligations].
3.PaymentTerms
3.1PartyBshallpayPartyAthefollowingamountsfortheservices/productsprovidedunderthisAgreement:
