摘 要 股利政策本质上是各不同利益主体基于各自利益不断博弈的结果。而股权结构则是公司治理结构的基础，是指股份公司总股本中,不同性质的股份所占的比例及其相互关系。不同的股权结构决定了不同的企业组织结构，从而决定了不同的企业治理结构，最终决定了企业的行为和绩效。因而股权结构的特征必然影响到股利政策的制定。 本文对股权结构对股利政策影响的理论进行了阐述，然后结合理论对浙江中小板上市公司的股权结构和股利政策的现状进行研究，最后提出相应的对策建议，主要从优化股权结构、建立健全中小股东利益保护机制、规范大股东行为、规范股利政策等四个方面做出建议。以期为中小板上市公司制定股利政策提供帮助并促进我国证券市场健康发展。 关键词：中小板上市公司；股利政策；股权结构；浙江 Abstract：The dividend policy is essentially the results of the different stakeholders’the ownership structure is the foundation of corporate governance structure, it refers the proportion of shares of a different nature and their relationship in the total equity of joint-stock enterprises. Enterprises of different ownership structure determine the different organizational structures, as a result, determine the different corporate governance structure, and ultimately determine the behaviors and performance of the enterprises. So the features of ownership structure will definitely affect the establishment of the dividend policy. This article expounds the theoretical study on the impact of ownership structure upon dividend policy, then states the current situation of ownership structure and dividend policy of listed enterprises in Zhejiang among small and medium-sized board, and finally concludes appropriate countermeasures on behalf of the management to plan establish dividend policy for the listed enterprises in small and medium-sized board, the aspects can be listed as follows: optimize the equity structure, establish and strengthen the protection of minority shareholders benefit mechanism, regulate the behavior of large shareholders, normative dividend policy .Then helps and promotes the healthy development of Chinas securities market.
