论我国涉外合同的特征性履行方法 戴霞 王新燕 摘 要：特征性履行方法是大陆法系合同冲突规则体系中的重要内容。《涉外民事关系法律适用法》第41条规定了我国涉外合同的冲突规则，但因其条文原则性强，且较以往国内法规定有较大不同，引发了学者关于第41条特征性履行方法地位的争议，主要表现为“转换观”与“未转换观”两种学者观点间的对立和冲突。综合国内外立法及实践状况，我国合同冲突规则理论应采“转换观”，认为第41条借鉴了国际立法，将特征性履行方法与最密切联系原则之于合同冲突规则体系中的地位进行了转换，并应通过完善合同种类划分、制定特征性履行方法一般规则、明确规定最密切联系原则对特征性履行方法的替代、补缺地位并细化其具体操作方法等途径建立以特征性履行方法为逻辑起点、以最密切联系原则为补充的环环相扣的涉外合同冲突规则体系，进一步完善特征性履行方法。 关键词：法律适用法 第41条 合同冲突规则 特征性履行 Research on Characteristic Performance Theory in Applicable Law for Foreign Contracts Abstract：Characteristic Performance is an important part of applicable law of foreign contracts. Article 41 of The Law of the Application of Law for Foreign Related Civil Relations stipulates the law application of foreign contracts, but its over-concision has caused disputes about the status of Characteristic Performance in Article 41 among the scholars，which intensively reflected in the contradiction between the opinion of conversion and the opinion of non-conversion. Considering both the domestic and global legislation and practice of law application of foreign contracts, Article 41 is supposed to has mirrored ROMEI and takes Characteristic Performance as the independent and superior applicable rules of foreign contracts over the Theory of Closest Connection. Meanwhile the following aspects, such as perfecting the specific categorization of contracts, establishing general rules of Characteristic Performance and defining relations between Characteristic Performance and the Theory of Closest Connection, could be taken into consideration to further improve the legislation of Characteristic Performance by shaping a set of interlocking applicable rules of foreign contracts which logically begins with Characteristic Performance Theory and takes the Theory of Closest Connection as the supplement.
