2011年度美的厨卫产品销售代理协议书 Sales Agency Agreement of Year 2011 on Midea Kitchen Bathroom Products  甲方：湖北美的厨卫销售有限公司 (以下简称甲方） Party A: Hubei Midea Kitchen Bathroom Products Sales Co., Ltd. (hereinafter shortly referred to as Party A) 乙方：  Party B 遵循甲乙双方共同发展的需要，本着自愿、平等、互利、合作的原则，根据《中华人民共 和合同法》等有关法律、法规的规定，对2011年度乙方销售甲方美的厨卫电器系列产品事宜，达成以下协议。 For the purpose of the mutual development of Party A and B, complying with principles of voluntariness, equality, mutual benefit and cooperation, Party A and B enter into the under-mentioned agreement on Party B’s sales of Midea kitchen and bathroom products in 2011 in accordance with The Contract Law of the PRC and other relevant laws and regulations. 一、销售期间 1. Sales Period 2011年1月1 日至2011年12月31日。 From Jan. 1, 2011 to Dec. 31, 2011.  二、销售区域 2. Sales Regions 2.1甲方授权乙方为美的厨卫产品在工贸以及指定渠道地区的代理商。 2.1 Party A authorizes Party B as sales agent of Midea kitchen and bathroom products in Industry and Trading Co., Ltd. and other appointed channels and regions.  （略） (omitted)  三、供货价格 3. Supplies Pricing  3.1销售年度内，产品供货价格以甲方发的年度价格表为准。 3.1 During the sales period, supplies shall be priced in accordance with annual price lists issued by Party A.  （略） (omitted)  四、乙方的责任与义务 4. Duties and Obligations of Party B 4.1 乙方承诺2011年度销售甲方厨卫电器系列产品500万元。 4.1 Party B warrants that it shall sell RMB 5 million worth of Party A’s kitchen and bathroom electric appliances in 2011.  且保证在2011年3月31日前向甲方首期投款及提货100万元，本协议方可生效。 It also warrants that it shall provide Party A with initial investment and take delivery of products of RMB 1 million before Mar. 31, 2011. Only then will this agreement come into effect.  4.2 .乙方应完成2011年牵引任务，具体牵引任务进度如下： 4.2 Party B shall complete its tasks of 2011.
