（正文用A4纸、纵向、单面打印,页边距采用系统默认方式） 试论证券结算信用风险控制之法律构建 摘 要 　自我国证券市场建立以来，证券结算体系从无到有，逐步完善，保障了市场的安全、高效和平稳运行，发挥了重要的基础性作用。但是，在我国证券市场“新兴加转轨”的特殊环境下，证券结算体系也面临不少问题和挑战。最为突出的是由于我国的结算体制不规范，相关法律法规不够完善，导致我国结算体系存在着不可忽视的信用风险隐患。近几年个别证券公司的风险集中爆发，并向结算系统转移，就暴露了我国证券结算法律制度的缺陷。在此情况下，证券结算信用风险控制法律体系的规范，越来越引起社会的重视。 本文以证券结算体系中对信用风险进行控制的相关法律制度为研究对象，结合法学和金融学的知识，综合运用比较分析法、历史分析法和法解释学等方法，在对我国证券结算中的信用风险进行深入分析的基础上，吸收了国际组织和发达国家对于证券结算信用风险的控制制度和相关建议，重点探讨了构建完善的证券结算信用风险控制法律体系所需的各主要制度，并对我国目前的证券结算信用风险控制法律制度进行分析，进而提出改进的建议。本文拟从以下五部分进行探讨： 第一部分讨论证券结算信用风险的背景，本部分旨在为本文提供一个知识背景和技术平台，通过对证券的登记、持有、结算体制等相关知识的介绍，进而对我国的证券持有和结算体制进行分析和定位，为本文以后展开论述奠定基础。 第二部分讨论证券结算信用风险及其控制体制，本部分阐述了我国证券结算信用风险的产生及其控制体系的现状，对发达国家的证券结算信用风险控制方法及其法律体系进行了介绍，并从事前、事中、事后三个层次，对我国的证券结算信用风险的法律体系进行构建。 …… [关键词]　证券结算　信用风险　法律控制　　 （注：中文摘要单独分页）The Legal Control Institution on the Credit Risks of Securities Settlement Abstract Since Chinese securities market is established, the securities settlement system has developed greatly. It plays an important role in protecting the security of the securities market in order to operate smoothly and efficiently. This paper consists of five parts. Part One generally discusses the back ground of the credit risk in securities settlement. The purpose of this part is to provide a technical background . According to the introduction of the securities register, holding and settlement system, the paper analyses the securities holding and settlement system of China. Part Two of the paper discusses the credit risk in securities settlement and its controlling system. This part expatiates on the cause and the presence of credit risk in securities settlement in China，and introduces the legal system of the developed countries’ on the credit risk controlling.
