二、发盘：（offer、quotation) 1. 定义：发盘是交易的一方希望出售或购买某种商品向交易的另一方明确提出交易该种货物的各项交易条件。 《联合国国际货物销售合同公约》 UN Convention on Contracts for the International Sales of Goods A proposal for concluding a contract addressed to one or more specific persons constitutes an offer if it is sufficiently definite and indicates the intention of the offeror to be bound in case of acceptance. 向一个或一个以上特定的人提出的订立合同的建议，如果十分确定并且表明发价人在得到接受时承受约束的意旨，即构成发价。 P283 A proposal is sufficiently definite if it indicates the goods and expressly or implicitly fixes or makes provision for determining the quantity and the price. 一个建议如果写明货物并且明示或暗示地规定数量和价格或规定如何确定数量和价格，即为十分确定。 2. 实盘的内容要点: （1）It includes all the necessary items for a transaction: full name of commodity, detailed specification, packaging, quantity, time of delivery, port of destination, terms of delivery and terms of payment. 包括所有交易条件 （2） It specifies the time by which the offer is valid and the time the acceptance must be received( “our time”). 有有效期和接受必须到达的时间 （3）It uses the phrase “offer firm” meaning that the offer is made without reservation. 有实盘字样 Dear Sirs: ???
