高级财务管理课程论文题目 关于企业并购中的风险及其防范 院 系 : 经济管理学院 专 业 : 财务管理 年 级 : 2011级 班 级 : 11-2班 姓 名 : 学 号 : 摘要 并购是一种重要的投资实现方式，企业并购可以获得企业所需要的产权及资产，实行一体化经营，从而达到规模经济，因而并购活动本身就具有战略意义。并购是目前世界上最为活跃的企业交易和产权变动方式, 也是一项复杂的经济行为,它可以使企业在短时间内实现资本扩张,从而增强自身的核心竞争力。近年来,随着我国国民经济的迅速发展,越来越多的企业选择并购的方式来进行企业的规模扩张和延伸，但由于我国的资本市场存在一定的缺陷,加之我国资本运营起步较晚, 并购在理论、实践、市场环境等方面均不成熟,在并购过程中可能存在着一系列的风险问题，因此，对我国企业并购过程中可能存在的风险问题进行有效防范对策研究，对企业的发展和我国国民经济的发展起着非常重要的作用。关键词：并购 投资 风险 资本 Summary：M A is an important investment implementation, mergers and acquisitions of property rights and assets needed to get business, the implementation of integrated management, so as to achieve economies of scale, thus M A activity itself has a strategic significance.
