Abstract: only relying on the balance of internal power of managers can not effectively solve the problem of state-owned enterprise governance. At the same time, giving property rights incentives to managers is not the ultimate way to improve governance structure and safeguard the interests of the owners. The solution of the state-owned enterprise governance should focus on the construction of the mechanism and the balance between the various stakeholders within the enterprise, especially the participation of the employees in the governance. In addition, the reform of the relevant regulatory authorities and the establishment of governance mechanisms within the regulatory body will also play an extremely important role in improving the supervision level of state-owned enterprises.
