第五章 证券法律制度一、证券法概述二、证券组织机构三、证券的发行与承销第五章 证券法律制度一、证券法概述1. 中国证券法概述中国《证券法》第2条的规定，证券包括股票、公司债券、政府债券、证券投资基金份额以及中国国务院依法认定的其他证券。1992年，中国证监会成立，标志着中国证券市场开始逐步纳入全国统一监管框架。1998年12月，中国正式通过了《证券法》并于1999年7月实施，以法律形式确认了证券市场的地位 。2001年12月，中国加入世界贸易组织 ，为履行中国“入世”时有关证券市场对外开放的相关承诺，中国也相应修订了国内相关证券法律法规，同时颁布了大量新的配套的证券法律法规，从而建立起一套与国际接轨的证券法律体系。2005年11月，中国对《证券法》进行了大规模的修订并重新颁布。 以之为核心建立健全的证券法律体制。第五章 证券法律制度一、证券法概述2. 美国证券法概述Securities Act of 1933--SEC. 2.
