内容 本文首先阐述了盈余管理与机构投资者的相关理论，并回顾了已有 的机构投资者持股行为对上市公司盈余管理的影响的相关研究，提出机 构投资者持股异质性会对上市盈余管理产生不同的影响的观点，进一步 论述了计量上市公司盈余管理程度及划分机构投资者持股异质性的理论 基础。在理论分析的基础上,木文提取了机构投资者积极持股、消极持股 及混合持股这三个持股变量，并建立了回归分析模型，通过实证验证了 机构投资者持股异?质性对上市公司盈余管理的影响，证实了机构投资者 积极持股能够抑制上市公司的盈余管理行为，机构投资者消极持股能够 刺激上市公司的盈余管理行为。 关键词：盈余管理机构投资者持股界质性 Abstract This article first expounds the relevant theory of earnings management and institutional investors, and reviews the current studies about how the holding behavior of institutional investors influencesearnings management of the listed companies. Then makes a point that the difference of institutional investors holding behavior has different impact on earnings management, and further discusses the theoretical basis of measuring the earnings management of the listed companies and classifying the difference of institutional investors holding. On the basis of theoretical analysis，this paper extracted the holding variables of institutional investors to active, negative and mix， and builds the regression analysis model to verifies the influence of the different holding behavior of institutional investors on the earnings management of listed companies by empirical. The results show that the active holding behaviorof institutional investors would constraint earnings management of the listed companies; the negative holding behaviorof institutional investors wouldstimulate earnings management.
