NON-DISCLOSURE AGREEMENT Party A： Party B： Whereas: party B will work as an intern In [ ] for [ ] months, from [ ] to [ ] , and during such period of time ,Party B will get access to non-disclosure information of Party A, therefore, the non-disclosure Agreement is made and entered into as of[ ]by and between [ ]and_______ based on principle of the equality and voluntariness. Content and scope of the Agreement 1.1 “Non-disclosure information” in this Agreement hereof shall refer to any information about Party A and Party A’s clients including but not limited to agreement s ,information, files, procedures, business systems, working process, client lists, working plans ,management decisions. Information not included shall also be deemed as non-disclosure information at Party A’s specific request. 1.2 Party B shall not in any way (including but not limited to ways of directly, indirectly, orally or in writing) disclose non-disclosure information to any non-related third party. 1.3 Party B shall not make use of non-disclosure information for profit or trade the non-disclosure information to any third party for production or business purpose, neither Party B is allowed to make use of the non-disclosure information for the purpose other than work-related. 1.4 When the intern ends, Party B shall return、destroy or delete all the non-disclosure information and materials at the request of Party A . Party B shall not copy、print、keep、 publicize or release the non-disclosure information and material in any way or method. 1.5 In case Party B discloses、uses or allows others to use the non-disclosure information against the Agreement hereof , Party B shall be liable for all the loss and damages thus caused to Party A. Confidentiality Term This Agreement shall be effective upon signing and/or chopping by both Parties and the Confidentiality shall last for 3 years commencing the ending day of the internship.
