华泰财险附加子机构的定义条款 双方同意在保险合同第五部分“定义”中增加下述定义： “子机构”是指： a. 自General Electric Company 开始的不间断所有权链中除General Electric Company 以外的任何机构，前提是当发生 “意外事故”时，所有权链中除最底 端机构外的任何一个机构均拥有紧邻其的下属机构超过50%的有投票权的股 份； b. 任何其他机构，前提是当发生“意外事故”时，General Electric Company 和/或 “子机构”或者上文a. 项所述机构拥有该机构超过50%的有投票权的股份； c. 任何其他机构，前提是当发生“意外事故”时， “子机构”或者上文a. 项或 b. 项所述机构拥有该机构超过50%的有投票权的股份； d. General Electric Company 直接或间接持有其50%有投票权的股份或拥有其 50%权益的任何机构或合伙企业，并且 General Electric Company 对其拥有管理 控制权。此外，如果 General Electric Company 对于前述机构或合伙企业所全 部或部分拥有的其他机构和/或合伙企业拥有管理控制权，则该等其他机构和/或 合伙企业也相应包含在本项规定的范围内。 G39 DEFINITION OF SUBSIDIARY ENTITY The following Definition is added to Section V – Definitions: “Subsidiary Entity” means: a. any entity (other than General Electric Company) in an unbroken chain of entities beginning with General Electric Company if, at the time of “occurrence”, each of the entities other than the last entity in such unbroken chain owns more than 50% of the voting stock in the entity immediately following it in the unbroken chain; b. any other entity if, at the time of the “occurrence”, more than 50% of its voting stock is owned by General Electric Company and/or “subsidiary entity” or entities as defined in (a) above; c. any other entity if, at the time of the occurrence, more than 50% of its voting stock is owned by any “subsidiary entity” or entities as defined in (a) or (b) above; d. any entity or partnership in which General Electric Company either directly or indirectly owns 50 % of the voting stock or has a 50% interest, respectively providing in either instance there is also management control by the General Electric Company. Furthermore, any other entities and/or partnerships owned in whole or in part by either aforementioned type entity are likewise included provided General Electric Company has management control
