ThisSoftwareDevelopmentContract(the“Contract”)isenteredintoandbetweentheClientandtheDeveloper.TheClientdesirestheDevelopertocreateanddeliverasoftwareproduct(the“Product”)accordingtothespecificationsoutlinedinExhibitAattachedhereto.

TermsandConditions:

Services

TheDeveloperagreestodevelop,create,anddelivertheProducttotheClientinaccordancewiththespecificationsoutlinedinExhibitA.

TheDevelopershallprovidenecessaryupdates,modifications,andsupportfortheProductasmutuallyagreedupontheparties.

TimelineandDelivery

TheDevelopershallpletethedevelopmentoftheProductwithinthetimelinespecifiedinExhibitBattachedhereto.

TheDevelopershalldelivertheProducttotheClientuponpletion,asoutlinedinExhibitCattachedhereto.

Payment

TheClientagreestopaytheDeveloperthetotalfeesspecifiedinExhibitDattachedhereto,uponthedeliveryoftheProduct.

TheClientshallmakepaymentstotheDeveloperinaccordancewiththepaymentscheduleoutlinedinExhibitD.

IntellectualProperty

TheDevelopershalltransferallright,,andinterestinandtotheProducttotheClientuponfullpaymentofthefeesspecifiedinExhibitD.

TheDevelopershallensurethattheProductdoesnotinfringeuponanythirdpartyintellectualpropertyrights.

Confidentiality

Bothpartiesagreetomntntheconfidentialityofanyproprietaryinformationexchangedbetweenthem,asoutlinedinExhibitEattachedhereto.

Warranty

TheDeveloperwarrantsthattheProductshallbefreefromdefectsandshallperforminaccordancewiththespecificationsoutlinedinExhibitA.

TheDevelopershallreprorreplaceanydefectiveportionoftheProductatnoadditionalcosttotheClient.
