International2023SoftwareLicenseAgreementSample
ThisInternationalSoftwareLicenseAgreement(“Agreement”)isenteredintoasof[Date],(“EffectiveDate”)byandbetween:
[Licensee],withaprincipalplaceofbusinessat[Address](“Licensee”);
and
[Licensor],withaprincipalplaceofbusinessat[Address](“Licensor”).
WHEREAS,Licensoristhedeveloperandownerofcertainsoftwareproducts,andLicenseedesirestolicensecertainsoftwareproductsfromLicensorforuseinLicensee’sbusinessoperations;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.LicenseGrant.LicensorherebygrantstoLicenseeanon-exclusive,non-transferablelicensetousethesoftwareproductslistedinExhibitA(“Software”)solelyforLicensee’sinternalbusinesspurposes.
2.LicenseFee.InconsiderationforthelicensegrantedunderthisAgreement,LicenseeshallpayLicensoralicensefeeintheamountof[Amount](“LicenseFee”).LicenseFeeshallbepaidwithin[Number]daysfromtheEffectiveDate.
3.TermandTermination.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Number]years(“Term”).EitherpartymayterminatethisAgreementuponwrittennoticeintheeventtheotherpartycommitsamaterialbreachofthisAgreement.
4.Ownership.Licensorshallretainallright,title,andinterestinandtotheSoftware.Licenseeshallnotmodify,reproduce,distribute,orcreatederivativeworksbasedontheSoftware.
5.Confidentiality.Bothpartiesagreetotreatallinformationmarkedasconfidentialorthatreasonablyshouldbeconsideredconfidentialassuch,andshallnotdiscloseorusesuchinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisAgreement.
6.Warranties.LicensorwarrantsthatithastherighttolicensetheSoftwaretoLi
