CopyrightContract
ThisCopyrightContract(theContract)isenteredintoonthis__________dayof__________,20__byandbetween:

PartyB:[LicenseeName],anindividual/organizationwithaprincipalplaceofbusinessat[Address](theLicensee)
WHEREAS,CopyrightHolderownscertaincopyrightedworksdescribedas[DescriptionoftheWorks];
WHEREAS,Licenseedesirestoobtainalicensetousethecopyrightedworksinacertainmannerasdescribedherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:
1.LicenseGrant:CopyrightHolderherebygrantsLicenseeanon-exclusive,worldwidelicensetousethecopyrightedworksdescribedaboveforthepurposeof[DescriptionofthePurpose].
2.Term:ThislicenseshallbeeffectiveasofthedateofthisContractandshallcontinueforaperiodof[DurationoftheLicenseTerm].
3.Compensation:Inconsiderationofthelicensegrantedherein,LicenseeagreestopaytoCopyrightHolderthesumof[Amount]ascompensationfortheuseofthecopyrightedworks.Paymentshallbemade[PaymentTerms].
4.Restrictions:Licenseeshallnotsublicense,transfer,orassigntherightsgrantedhereinwithoutthepriorwrittenconsentofCopyrightHolder.
5.Indemnification:Licenseeagreestoindemnify,defend,andholdharmlessCopyrightHolderfromandagainstanyclaims,damages,losses,liabilities,andexpensesarisingoutoforrelatedtoLicenseesuseofthecopyrightedworks.
6.Termination:EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisContractandfailstocuresuchbreachwithin[CurePeriod]daysofreceivingwrittennotice.
