PATENTLICENSINGAGREEMENT

ThisPATENTLICENSINGAGREEMENT(theAgreement)ismadeandenteredintoasofthe__________dayof___________,20__,byandbetween__________(theLicensor),acompanyorganizedandexistingunderthelawsof__________,withitsprincipalplaceofbusinessat__________,and__________(theLicensee),acompanyorganizedandexistingunderthelawsof__________,withitsprincipalplaceofbusinessat__________.

WHEREAS,Licensoristheownerofcertainpatentrights,whicharedescribedinExhibitAattachedheretoandincorporatedhereinbyreference(thePatentRights);and

WHEREAS,LicenseedesirestoobtainalicensetousethePatentRightsforthepurposeofmanufacturing,using,selling,offeringforsale,andimportingproductsembodyingthePatentRights(theLicensedProducts)inthefieldof__________(theFieldofUse);and

WHEREAS,Licensoriswillingtograntsuchlicenseonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.GRANTOFLICENSE.SubjecttothetermsandconditionsofthisAgreement,LicensorherebygrantstoLicenseeanon-exclusive,royalty-bearinglicensetomake,havemade,use,sell,offerforsale,importandotherwiseexploittheLicensedProductswithintheFieldofUseduringtheTermofthisAgreement.

2.ROYALTYPAYMENTS.Asconsiderationforthelicensegrantedherein,LicenseeshallpaytoLicensoraroyaltyequalto__________percent(__________%)ofthenetsalespriceoftheLicensedProductssoldbyLicenseeoritsaffiliates.

3.MINIMUMROYALTY.LicenseeshallpaytoLicensoraminimumroyaltyof__________(theMinimumRoyalty)foreachcalendaryearoftheTerm,regardlessoftheactualsalesoftheLicensedProducts.TheMinimumRoyaltyshallbedue
