UNConventiononContractsfortheInternationalSaleofGoodsTheCISG,adoptedin1980,incorporatesrulesfromallthemajorlegalsystems.Itprovidesacceptedsubstantiverulesonwhichcontractingparties,courts,andarbitratorsmayrely.Ithasbeenratifiedby72countries,buthasnotbeenratifiedbyBrazil,Japan,India,andtheUK.Japanisexpectedtoratifyitin2008.10-3
TransactionsCoveredinCISGCISGappliestocontractsforinternationalsaleofgoods.Thebuyerandsellermusthavetheirplaceofbusinessindifferentstates.Either:Bothofthestatesmustbecontractingpartiestotheconvention,orTherulesofprivateinternationallawmustleadtotheapplicationofthelawofacontractingstate.AratifyingstatemaydeclarethatitwillapplyCISGonlywhenthebuyerandsellerarebothfromcontractingstates.10-4
