佣金协议

Thiscommissionagreementismadebetween[CompanyA],acompanyincorporatedunderthelawsof[CountryA],withitsregisteredofficeat[AddressA],and[CompanyB],acompanyincorporatedunderthelawsof[CountryB],withitsregisteredofficeat[AddressB].

1.DefinitionsandInterpretation

1.1.Inthisagreement,thefollowingtermsshallhavethefollowingmeanings:

*ProductsreferstotheproductslistedinAnnexA,whicharetobeimportedfrom[CountryB]to[CountryA].

*Commissionreferstothecommissionpayableby[CompanyA]to[CompanyB]forthesaleoftheProductsin[CountryA].

*Quarterreferstoaperiodofthreemonths,commencingonthefirstdayofJanuary,April,July,andOctober.

*WorkingDayreferstoanydayotherthanaSaturday,Sunday,orpublicholidayin[CountryA].

1.2.Thewordsinclude,includes,andincludingshallbedeemedtobefollowedbythewordswithoutlimitation.

1.3.Thewordshereof,hereby,hereinafter,andashereinafterprovidedshallbedeemedtopointtothisagreementasawholeandnottoanyparticularprovisionofthisagreement.

1.4.Theheadingsinthisagreementareforconvenienceonlyandshallnotaffecttheinterpretationofthisagreement.

2.CommissionPayable

2.1.[CompanyA]shallpayto[CompanyB]acommissionof[Percentage]percent(%)onthenetsalespriceoftheProductsin[CountryA].Thenetsalespriceshallbecalculatedafterdeductingalltaxes,duties,andotherchargesimposedin[CountryA]ontheProducts.

2.2.ThecommissionshallbepaidquarterlyinadvanceoneachQuarterlyPaymentDate,asspecifiedinSection5.1hereof.

2.3.IfanyProductsarereturnedorrejectedbythebuyerin[CountryA],thecommissionpaidforsuchProductsshallbedeductedfromsubsequentpaymentsdueto[CompanyB].

3.MinimumCommission

3.1.[CompanyA]shallensurethatthetotalcommissionp
