ThisTechnologyServiceContractismadebetweenABCLimited,acompanyincorporatedandexistingunderthelawsofCountryX,whoseregisteredofficeisatAddressX,andDEFCorporation,acompanyincorporatedandexistingunderthelawsofCountryY,whoseregisteredofficeisatAddressY(hereinafterreferredtoasPartyAandPartyBrespectively).

1.ScopeofServices

PartyAshallprovidetechnologyservicestoPartyBinaccordancewiththetermsandconditionsspecifiedinthiscontract.Theservicestobeprovidedincludebutarenotlimitedto:

*TechnicalConsultation

*ProjectManagement

*TechnicalTraining

*After-salesService

2.DurationofContract

Thiscontractshallcomeintoforcefromthedateofsigningandshallremaininforceforaperiodof[InsertDuration].Thepartiesmaymutuallyagreetoextendthecontractuponexpirationoftheinitialterm.

3.FeesandPaymentTerms

3.1PartyBshallpayPartyAaservicefeefortheservicesrendered.Thefeestructureandamountsshallbeagreeduponbythepartiespriortothecommencementofservices.

3.2PartyBshallmakepaymenttoPartyAinfullandinadvancepriortothecommencementofservices.PaymentshallbemadebywiretransfertoPartyAsdesignatedbankaccount.

4.Confidentiality

Thepartiesagreetokeepallconfidentialinformationdisclosedbyeachpartytotheotherconfidential.Confidentialinformationshallincludebutnotbelimitedto:

*Technicaldataandspecifications

*Businessplansandstrategies

*Customerinformationandcontactdetails

Theconfidentialityobligationshallsurvivetheterminationofthiscontract.

5.ForceMajeure

Thepartiesshallnotbeheldresponsibleforanydelaysorfailurestoperformtheirobligationsunderthiscontractduetoforcemajeureevents,includingbutnotlimitedto:
