stockPledgingAgreement
RECITALS
WHEREAS,thePledgeehasagreedtoprovidealoanorotherfinancialassistancetothePledgor(theLoan),andassecurityfortherepaymentoftheLoan,thePledgorwishestopledgethePledgedSharestothePledgee;
NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:
1.PledgorsGrantofPledge
1.1ThePledgorheregrantstothePledgeeasecurityinterestinandalienonthePledgedSharestosecuretherepaymentoftheLoanandtheperformancethePledgorofallotherobligationsunderthisAgreement.
1.2ThePledgorrepresentsandwarrantsthatitisthesoleandexclusiveownerofthePledgedShares,freeandclearofanyliens,encumbrances,orclaimsofanythirdparties.
2.PledgeesRightsandRemedies
2.1ThePledgeeshallhavetherighttoexerciseanyandallrightsandremediesavailabletoitunderapplicablelawintheeventofdefaultthePledgorunderthisAgreement,including,withoutlimitation,therighttosell,transfer,ordisposeofthePledgedSharesinwholeorinparttosatisfytheobligationsofthePledgorunderthisAgreement.
2.2ThePledgeemay,atitsoption,requirethePledgortodepositwithitadditionalcollateraltosecuretheLoan,insuchformandamountasthePledgeemaydetermineinitssolediscretion.
3.PledgorsObligations
3.1ThePledgorshallberesponsibleforthepaymentoftheLoanandtheperformanceofallotherobligationsunderthisAgreement.
3.2ThePledgorshallnotsell,transfer,orotherwisedisposeofthePledgedShareswithoutthepriorwrittenconsentofthePledgee.
4.RepresentationsandWarranties
4.2ThePledgorrepresentsandwarrantsthatithasthefulllegalcapacity,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.
5.Miscellaneous
5.1ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheot
