TechnologyLicensingAgreement

Introduction

ThisTechnologyLicensingAgreement(theAgreement)ismadeandenteredintobyandbetween[NameoftheTechnologyOwner](theLicensor)and[NameoftheTechnologyUser](theLicensee)on[DateoftheAgreement].ThepurposeofthisAgreementistoclearlydefinethetermsandconditionsunderwhichtheLicenseemayusetheLicensorstechnology(theTechnology)inthedevelopmentandoperationofitsbusiness.

1.Licensor:[NameoftheTechnologyOwner]

2.Licensee:[NameoftheTechnologyUser]

Agreement

1.LicenseGrant:TheLicensorherebygrantstotheLicenseeanon-exclusive,non-transferablelicensetousetheTechnologyinthedevelopmentandoperationoftheLicenseesbusiness.TheLicenseemaynotsublicenseortransferitsrightsunderthisAgreementwithoutthepriorwrittenconsentoftheLicensor.

2.ScopeofUse:TheLicenseemayusetheTechnologyinanycountryorregionwhereitoperatesitsbusiness,subjecttocompliancewithallapplicablelawsandregulations.TheLicenseemaynotusetheTechnologyforanypurposeotherthanthoseexpresslyauthorizedbythisAgreement.

3.RoyaltyPayments:TheLicenseeshallmakeannualroyaltypaymentstotheLicensorbasedonthevalueoftheTechnologyscontributiontotheLicenseesbusiness.Thespecificpaymenttermsshallbeagreeduponbybothpartiesinwriting.

4.Confidentiality:ThepartiesshallkeepconfidentialallinformationrelatedtotheTechnologyanditsusebytheLicensee,exceptforinformationthatispubliclyavailableorobtainedthroughlegitimatemeans.

5.Termination:ThisAgreementmaybeterminatedbyeitherpartyatanytime,providedthattheLicenseereturnsallcopiesoftheTechnologyanditsrelatedmaterialstotheLicensorupontermination.TheLicenseeshallalsoceaseusingtheTechnologyimmediatelyupontermination.
