1.1TheproducttobesoldbyABCCompanytoXYZCompanyis(descriptionofproduct).

2.PaymentTerms

2.1Thepaymentfortheproductshallbemadeinfullbeforethedeliveryoftheproduct.

2.2ThepaymentshallbemadebybanktransfertotheaccountdesignatedbyABCCompany.

3.DeliveryTerms

3.1Thedeliveryoftheproductshallbemadewithin(deliverytime)fromthedateofreceiptofpaymentbyABCCompany.

3.2ThedeliveryshallbemadetotheaddressdesignatedbyXYZCompany.

4.WarrantyandAfter-salesService

4.1ABCCompanywarrantsthattheproducttobesoldisofgoodqualityandfitsforitsintendedpurpose.

4.2Incaseofanyqualityproblemordefectfoundintheproductafterthedelivery,ABCCompanyshallprovideafter-salesserviceandrepairorreplacetheproductfreeofcharge.

5.ForceMajeure

5.1Eitherpartyheretoshallbeexemptedfromliabilityforanyfailuretoperformitsobligationsunderthiscontractduetoforcemajeureevents,includingbutnotlimitedtowar,rebellion,fire,flood,earthquake,orothernaturaldisasters.

5.2Incaseofforcemajeureevents,thepartiesheretoshallpromptlynotifyeachotherandproviderelevantproofmaterials.Theyshallnegotiateingoodfaithtofindasolutionthatisfairtobothparties.

6.ApplicableLawandDisputeResolution

6.1ThiscontractshallbegovernedbythelawsofCountryA.
