##PREAMBLE

##ARTICLE1:CONTRACTDATE

ThedateofthisContractshallbethedateuponwhichthelastPartyheretosignsthisContract.

##ARTICLE2:INVENTORYANDSHIPMENT

1.ThePartiesherebyagreethat[NameofCompanyA]shallprovide[NameofCompanyB]withalistofinventoryitemsthatmaybeshippedto[NameofCompanyB]fromtimetotime,subjecttothetermsandconditionssetforthinthisContract.

2.Theinventoryitemsshallbethoseitemsthatarenotsoldorotherwisedisposedofby[NameofCompanyA]toitscustomersorotherwise.TheinventoryitemsshallbethosethatareinstockatthetimeofthisContractsexecutionandanyadditionalitemsthatmaybeacquiredby[NameofCompanyA]inthefuture.

3.ThePartiesherebyfurtheragreethat[NameofCompanyA]shallshiptheinventoryitemsto[NameofCompanyB]atsuchtimesandinsuchquantitiesas[NameofCompanyB]mayrequest,providedthatsuchrequestsarereasonableandinaccordancewiththetermsofthisContract.

##ARTICLE3:TERMSOFSHIPMENT

1.Theinventoryitemsshallbeshippedby[NameofCompanyA]to[NameofCompanyB]atthecostof[NameofCompanyA].ThePartiesherebyagreethatthecostofshipmentshallbecalculatedbasedontheactualcostincurredby[NameofCompanyA]foreachshipment.

2.Theinv
