TechnologyProjectServiceContract

ThisTechnologyProjectServiceContractismadebetween[CompanyA],withitsregisteredofficeat[AddressA],and[CompanyB],withitsregisteredofficeat[AddressB],on[DateofContract].

1.DefinitionsandInterpretation

1.1.InthisContract,thefollowingtermsshallhavethefollowingmeanings:

*Projectreferstothetechnologyprojecttobecarriedoutby[CompanyB]for[CompanyA],asspecifiedinClause3below.

*Servicesreferstotheservicestobeprovidedby[CompanyB]to[CompanyA]inconnectionwiththeProject,asspecifiedinClause3below.

*IntellectualPropertyRightsreferstoallformsofintellectualproperty,includingbutnotlimitedtopatents,trademarks,copyrights,tradesecrets,andknow-how.

1.2.TheinterpretationofthisContractshallbegovernedbythelawsof[CountryofContract].

2.SubjectMatteroftheContract

2.1.ThesubjectmatterofthisContractistheprovisionofServicesby[CompanyB]to[CompanyA]inconnectionwiththeProject,asspecifiedbelow:

*ServicestobeProvided:[ServicestobeProvided]

2.2.ThedurationofthisContractshallbe[DurationofContract],commencingon[StartDate]andendingon[EndDate].

3.Obligationsof[CompanyA]

3.1.[CompanyA]shallprovideallnecessarysupportandcooperationto[CompanyB]inconnectionwiththeProject,includingbutnotlimitedto:

*Providingaccesstorelevantpersonnelandresources.

*Approvingprojectplansandbudgets.

*Timelypaymentofallfeesandchargesdueto[CompanyB].

3.2.[CompanyA]shallensurethatallinformationanddataprovidedto[CompanyB]isaccurate,complete,andup-to-date.

3.3.[CompanyA]shallnotify[CompanyB]ofanychangesthatmayaffecttheperformanceoftheProjectinatimelymanner.
