I.Recitals

2.PartyAshallberesponsibleforensuringthatthesubjectmatterorserviceprovidedplieswithallapplicablelaws,regulations,andindustrystandards.

3.PartyAshallusereasonableeffortstoperformtheobligationsunderthisAgreementinatimelyandprofessionalmanner.

4.PartyAshallprovidePartyBwithanynecessarydocumentation,reports,orcertificationsrelatedtothesubjectmatterorservice.

5.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,andexpensesarisingoutoforinconnectionwithPartyAsbreachofthisAgreementoritsperformanceofthesubjectmatterorservice.
