ThisAgreementismadeat[Place]on[Date]byandbetween[PartyA],representedby[RepresentativeA],and[PartyB],representedby[RepresentativeB].

1.Introduction

ThepartiesheretoagreethatPartyAshallholdsharesofacompanyonbehalfofPartyBunderthetermsandconditionssetforthinthisAgreement.

2.ScopeofRepresentation

2.1PartyAshallhold[Number]sharesofthecompanyonbehalfofPartyB.

2.2PartyAshallexerciseallrightsandprivilegesassociatedwiththesharesitholdsonbehalfofPartyB,includingbutnotlimitedtovoting,dividendpayment,andparticipationinshareholdermeetings.

3.TermofRepresentation

3.1ThisAgreementshallbeeffectivefromthedateitissigneduntil[TerminationDate].

3.2EitherpartymayterminatethisAgreementbygiving[NoticePeriod]days’noticetotheotherparty.

4.RightsandObligationsoftheParties

4.1PartyAshall:

*HoldthesharesonbehalfofPartyBintrustandconfidence.

*ExercisetherightsandprivilegesassociatedwiththesharesinaccordancewiththeinstructionsofPartyB.

*ProvidePartyBwithregularupdatesonthestatusofthesharesandanyrelatedtransactions.

4.2PartyBshall:

*PayPartyAacommissionforholdingandmanagingtheshares,asagreeduponbytheparties.

*InstructPartyAonhowtoexerciseitsrightsandprivilegesassociatedwiththeshares.

*ReimbursePartyAforanyreasonableexpensesincurredbyPartyAinconnectionwiththerepresentation.

5.DisputeResolution

5.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledbynegotiationbetweentheparties.

5.2Ifnegotiationfailstoresolvethedispute,eitherpartymaysubmitthedisputetoarbitrationundertherulesof[ArbitrationInstitution],with[Number]arbitrator[s]appointedby[AppointmentMethod].Thearbitrationawardshallbefinalandbin
