二、国际立法概述：
Case1AnAustriancompany,plaintiff,enteredintoacontractforthepurchaseandtransportofspiritstoRussiawiththeSwissbranchofacompanythathaditsheadquartersinLiechtenstein.Thecontractwasneverperformedbecauseadisputearoseamongthepartiesregardingthemodeoftransportandthefinaldateofperformance.TheAustrianbuyersuedtheSwisssellerforrepayment,whilethedefendantclaimeddamagesforbreachofcontract.Questions:WhetherCISGisapplicableforthiscase?
1.SphereofApplication适用范围Article1(1)ThisConventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindifferentStates:(a)whentheStatesareContractingStates;or(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.
Article1(cont’d)(2)ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanydealingsbetween,orfrominformationdisclosedby,thepartiesatanytimebeforeorattheconclusionofthecontract.(3)NeitherthenationalityofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisConvention.
2、货物范围Article2Conventiondoesnotapplytosales:(a)ofgoodsboughtforpersonal,familyorhouseholduse,unlesstheseller,atanytimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysuchuse;(b)byauction;(c)onexecutionorotherwisebyauthorityoflaw;(d)ofstocks,shares,investmentsecurities,negotiableinstrumentsormoney;(e)ofships,vessels,hovercraftoraircraft;(f)ofelectricity.
