NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.DefinitionofConfidentialInformation

ForthepurposesofthisAgreement,ConfidentialInformationshallmeananyandallnonpublicinformation,includingbutnotlimitedto:

b.Customerlists,productspecifications,pricinginformation,andmarketingplans;

c.Strategies,research,development,andknowhow;

d.Tradesecrets;

e.Anyotherinformationthatisdesignatedasconfidentialorthatshouldreasonablybeconsideredconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.

2.ObligationofConfidentiality

a.TheReceivingPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottousetheConfidentialInformationforanypurposeexceptforthepurposeoffulfillingtheobligationsofthisAgreement.

b.TheReceivingPartyagreesnottodiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.

c.TheReceivingPartyagreestoprotecttheconfidentialityoftheConfidentialInformationtothesameextentasitprotect
