Parties

ThisCarbonDioxideCapture,Utilization,andStorageAgreement(theAgreement)ismadeandenteredintoasof[EffectiveDate],byandbetween:

[CapturePartyName],a[legalstructure]organizedandexistingunderthelawsof[State/CountryofCaptureParty],havingitsprincipalplaceofbusinessat[CapturePartyAddress](CaptureParty),and

[Utilization/StoragePartyName],a[legalstructure]organizedandexistingunderthelawsof[State/CountryofUtilization/StorageParty],havingitsprincipalplaceofbusinessat[Utilization/StoragePartyAddress](Utilization/StorageParty).

BackgroundandPurpose

WHEREAS,CapturePartyoperatesorhasunderconstructionafacility(theCaptureFacility)capableofcapturingCarbonDioxide(CO2)from[describeemissionsourceorsourcecategory](CapturedCO2);

WHEREAS,Utilization/StoragePartyhasthecapabilityanddesiretoutilizeorstoreCO2capturedfromCaptureParty(CO2Delivery);

WHEREAS,thePartieswishtoestablishaframeworkfortheCapturePartytocaptureCO2attheCaptureFacilityanddeliversuchCO2totheUtilization/StoragePartyforutilizationorstorageinaccordancewiththetermsandconditionsofthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:

1.ScopeofWork

1.1ThisAgreementshallgovernthecapture,delivery,utilization,and/orstorageofCO2betweentheParties.

1.2ThescopeofworkunderthisAgreementshallinclude,butnotbelimitedto,thecaptureofCO2attheCaptureFacility,thetransportationofCO2fromtheCaptureFacilitytotheDeliveryPoint(asdefinedinSection4),andtheutilizationorstorageofCO2attheUtilization/StorageFacility(asdefinedinSection4)byUtilization/StorageParty.
