前言

Preamble

(A)

PartyA计划出售其部分股份，并邀请PartyB考虑该项收购，并对其经营、资产及财务状况进行尽职调查（项目）。

PartyAplanstosellitssharesandinvitesPartyBtoconsidertheacquisitionandconductingduediligenceonPartyAsoperation,assets,andfinancestatus.(theProject).

(B)

就该项目而言，双方（PartyA/PartyB）和/或其一个或多个关联方（独称为披露方，共同称为各披露方）有意使接收方获得有关项目的信息。为本协议的目的，关联方应指处于PartyA/PartyB或其任何直接或间接股东的直接或间接控制之下的任何公司。（各自）接收方认可对提供的信息严格保密符合（各自）披露方的利益。为此目的，（各自）接收方同意本协议中做出的承诺。

InconnectionwiththeProject,theParties(PartyA/PartyB)and/oroneormoreofitsAffiliates(eachaDisclosingPartyandtogethertheDisclosingParties)intendtomakeavailabletotheRecipientinformationrelatingtotheProject.ForpurposesofthisAgreement,AffiliateshallmeananycorporationthatisunderdirectorindirectcontrolofPartyA/PartyBoranyofitsdirectorindirectstakeholders.The(respective)Recipientacknowledgestheinterestsofthe(respective)DisclosingPartytokeeptheinformationprovidedstrictlyconfidential.Forthispurpose,the(respective)RecipientagreestotheundertakingssetforthinthisAgreement.

ConfidentialInformation

1.1就本协议目的，保密信息应当是指：

ForpurposesofthisAgreement,ConfidentialInformationshallmean:

接收方或接收方的专业顾问，或者以上任何一方的代表或雇员（单独或统称为被授权人）以口头或书面、影像、电子、数字或其他形式了解的——不论是在签署本协议之前还是之后——关于项目的任何信息（不论是否声明为保密）；

anyinformation(whetherstatedtobeconfidentialornot)relatingtotheProject,whichismadeavailable-whetherbeforeoraftersigningofthisAgreement-totheRecipientortheRecipientsprofessionaladvisers,or,ineachcase,theirrepresentativesoremployees(individuallyortogethertheAuthorizedPerson(s))eitherorallyorinwriting,visually,electronically,digitallyorotherwise;
