Abstract With many years’ development, project finance, as a different financing model from company finance, has been an important branch of international finance, and has been widely used in the exploitation of energy sources and natural resources, the construction of large-scale infrastructure, etc. In 1980s, project finance was introduced into China and was successfully used in some large-scale investment projects. In lately years, the rapid development of Chinese economy needs ever-increasing fund supply for infrastructure construction, and developing project finance to raise money for economic construction has become common understanding of the government, enterprises, and financial institutions. Because the scale of international project finance has been larger and larger, whose structure has been more and more complicated, and the global economic environment is more and more unpredictable, project finance risk is being exposed to many risks increasingly. Therefore, the risk management, which is attached more and more importance to in the world, has been an important part of project finance in developed countries. In China, because the developing of project finance and risk management is relatively late, the objective conditions of risk management are still immature, and due to the negative influence of traditionally economic system, many people think poorly of the risk factors so that they overlook the risk management of project finance.
