T his theory has extensive use due to its simple representation. H ow ever the com plex of the second order quantity theory can not be der ived [ 6] from ener gy theorem in general use and the complex Poynting theorem has not been mentioned in many references [ 3-5] . T he com plex form of second or der quantity theor y is presented in detail in this paper, w hich makes a stability foundation for the com plex form of Poynting, Foster and Lorentz theor em .
