This paper reveals the defects of profit manipulation are the main management limited rationality, information asymmetry, the accounting system and tax law itself and tax environment deteriorated, under the guidance of these causes, companies would make profit manipulation by various means, including accounting methods, related party transactions and accounting change method. In view of profit manipulation of these phenomena, we have a corresponding laws and regulations, penalties, corporate credit rating mechanism and supervision of all aspects of the proposed some countermeasures, in order to avoid the same problem again and again, to the company itself, to the society and the normal economic order damage.
