LOUNGE USAGE AGREEMENT between China Southern Airlines– Company Limited and Alitalia - Compagnia Aerea Italiana S.p.A. Overview These procedures describe the requirements for lounge usage: operation, facilities and regional pricing scheme. These procedures are agreed under bilateral basis as outlined below. Agreement This Lounge Usage Agreement (“Agreement”) has entered into force o January 13th, 2009 (the effective date) by and between Alitalia - Compagnia Aerea Italiana S.p.A. (Alitalia or AZ), a company incorporated under the laws of Italy whose registered office is at Via Manfredo Camperio, 9 - 20123 Milano Italy, tax code and company registered number: 02500880121 and China Southern Airlines – Company Limited (China Southern or CZ),??a company organized and existing pursuant to the laws of China, with its principal office at Baiyun International Airport, Guangzhou, 510405 P.R. Collectively referred to as the “Parties”. For the purpose of this agreement, Alitalia Compagnia Aerea Italiana S.p.A. means Alitalia (AZ), Alitalia Express (XM) and Volare (VE) coded flights operated by Alitalia C.A.I., with the exclusion of passengers flying on AirOne and AirOne CityLiner (AP) coded flights. Recitals AZ and CZ are each engaged in the business of providing air transportation. In connection with their respective business, each of the Parties hereto operates or subcontracts from third parties airport clubroom/lounge facilities (the “Facilities”) for the benefit of certain of its passengers. Arrival clubroom/lounge facilities are not covered by this Agreement. “Permitted Customers” are defined for purposes of this Agreement to include the following categories of passengers: (a) AZ – Club Freccia Alata and Freccia Alata Plus members and ticketed Business Class passengers; and (b) CZ: First/Business Class passengers and Sky Pearl Gold members departing on a same day international flight or connecting to/from an international flight operated by AZ, AF/KL, A
