《2011年公立医院改革试点工作安排》明确提出要完善公立医院法人治理机制，在当前和今后的一个时期内，法人治理将是我国公立医院改革的方向。 本论文从经济学、法学等学科的法人制度理论为基础，明确相关理论在公立医院中的具体内涵，特别是从公立医院法人治理结构的构成要素来分析法人权利。指出公立医院法人治理结构的核心问题就是如何控制公立医院的经营管理者利用制度漏洞，谋求医院甚至个人私利，而牺牲公立医院公益性目标的问题。 本论文的另一部分工作就是在对比分析国际现有成功医疗机构治理模式后，根据我国公立医院治理演变及现有改革经验，探讨完善我国公立医院治理具体建议，提出要深化我国公立医院法人治理的理论及相关法律基础；完善我国公立医院法人治理的原则；建立公立医院法人治理结构应遵循的要求；规范公立医院法人治理的运行机制建设。通过微观层面的品绩考核来激励医院职工，保障公立医院法人治理的有效运行，实现公立医院的公益性目标。 In February 2011，Circular of the General Office of the State Council printed and distributed the Arrangements for the Pilot Reform to Public Hospitals in 2011, and indicated that it is necessary to improve governance mechanism of public hospitals. In the current and future，the corporate governance will be the direction of ublic Hospitals Reform in China. This paper will be based on a string of theories of Corporation system from Economics and Law，applies those Theories into public hospitalsespecially analyzes the legal rights from the constituent elements of the corporate governance structure of public hospitals, and point out the core issue of corporate governance structure of public hospitals is how to prevent the public hospital operators to seek the interest of hospitals even personal at the expense of public welfare goal of public hospitals, by using loopholes in the system. The other part of this thesis gives some suggestions on perfecting the management of China public hospitals, based on Chinese public hospital governance evolution and current reform experience, after contrastive analysing of the existing successful governance model of international medical institutions.
