河南财经学院本科生毕业论文 我国上市公司股权激励现状及对策研究 姓　　名 学　　号 专　　业 指导教师 2009年5月15日 摘　要 根据现代激励理论，股权激励是一种以公司股票为标的，对其董事、监事、高级管理人员、骨干员工及其他人员进行的长期性激励机制，是适合现代企业长期发展的激励手段。这种制度从诞生到在美国及其它西方国家的大规模实施，一直伴随着关于企业神话的产生、辉煌或者亏损、倒闭。在我国建立股权激励机制，既是市场经济发展的需要，也是有效推进国有企业股权结构多元化、实现国有资产安全退出的一个有效途径。近几年，股权激励在国内受到越来越重要的关注，股权激励的概念已经深入人心。在股权激励制度广泛推广实施的情况下，对其有一个全面的认识和评价显得十分必要。 本文在新的法律政策出台背景下,结合股权激励的理论基础,参考西方发达国家上市公司股权激励的经验,分析我国实施股权激励的宏观环境和现状, 认为我国上市公司实施股权激励不仅是必要的而且是可行的但在实施过程中还存在希望能够通过对上述问题的研究为我国上市公司股权激励的实践提供一些帮关键词：  Abstract According to the modern drive theory, the stockholders rights drive is one kind take the company share as the sign, to its trustee, the supervisor, the higher management, the backbone staff and other personnel carries on the long-term drive mechanism, is suits the modern enterprise long-term development the means of incentive. In recent years, equity-based incentives are becoming more and more important in the domestic concerns, the concept of equity-based incentives have been popular. In equity-based incentives system to promote the implementation of a wide range of circumstances, they have a comprehensive understanding and evaluation of it is very necessary.
