摘要 21世纪初国内外出现了一系列的舞弊案，如国外的世界通信、默克制药、安然和施乐等大批国际大公司，国内的麦科特、郑百文、银广夏、红光实业、蓝天股份等上市公司会计造假案。这些造假案的出现使得内部控制越来越得到大家的关注。有效的内部控制体系有利于企业的长期可持续发展，进而美国COSO委员会在2004年颁发了《企业风险管理框架》；加拿大特许会计师协会（CICA）负责的控制规范委员会发布了“控制指南”。我国2008年6月发布《企业内部控制基本规范》和《企业内部控制评价指引》、《企业内部控制应用指引》和《企业内部控制鉴证指引》三份征求意见稿。而与此同时，我国的房地产业经过十几年的高速发展，在近几年房价狂涨后被推到了风口浪尖上，政府连续出台的调控政策让房地产业外部经营环境恶化，由此在这样一个市场环境下房地产企业要防范风险，建立完美的内部控制体系就显得很有必要，稳固根基才能实现长期可持续经营。本文在参考以往大量文献的基础上，以G房地产公司为例，结合公司实际情况对其内部控制进行了评价诊断并提出了一些调整建议。通过实例研究，结合案例公司自身情况对其内部控制提出整改建议，这对其他企业也起到一定的借鉴参考意义。 关键词: 内部控制；评价；诊断；对策 Abstract In the beginning of the 21st century there appears a series of fraud, such as the WorldCom, Merck, Enron and Xerox, these big international companies. In China such as MACAT, Zhengbaiwen, Guangxia, red Industrial, blue sky,. The emergence of these fraud cases is increasingly everyones attention. Effective internal control system is conducive to long-term sustainable development of enterprises, and then the U.S. Committee of Sponsoring Organizations of the Treadway Commission(COSO) in 2004 awarded the Enterprise Risk Management Framework; Canadian Institute of Chartered Accountants (CICA) responsible for the control of Codex Committee issued the Guidelines for control .And our country In June 2005, the State Council agreed to Led by the Treasury Department, the Joint Commission and the national endowment appoint, actively study and formulate a complete set of recognized corporate internal control guidelines.In July 2006 the internal control standards committee has been established.
