Payment by direct remittance: Payment shall be effected by the Buyer, by telegraphic transfer, within 7 (seven) days after receipt from the Seller of the shipping documents specified in Clause 10 hereof. 直接付款： 买方收到本合同第10款规定的装运单据后7天内， 以电汇方式向卖方支付货款。 Force majeure: In case of force majeure such as war, fire, flood, typhoon and earthquake or any other events , the seller shall not be held responsible for late delivery or non-delivery of the contracted goods, but the Buyer shall be notified of this by cable or by fax. The Seller should furnish the Buyer with a certificate attesting such event(s) if requested by the Buyer. Even in such cases, the Seller is still liable to take all possible measures to expedite the delivery of goods. Arbitration : All disputes in connection with this Contract or the execution thereof shall be amicably settled through negotiations. In case no amicable settlement can be reached between the two parties through negotiations, the case should then be submitted for arbitration to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade. The arbitration shall take place in Shanghai and the decision rendered by the Commission shall be final and binding upon both parties; neither party shall seek resource to the law court or other authorities for revising the decision. The arbitration fee shall be borne by the losing party. Claims: Should the quality, quantity and/or weight be found not in conformity with those in this contract, aside from those natural changes of quality and weight in transit and losses within the responsibility of the shipping company and/or insurance company, the Buyer shall have the right within 30 days after the arrival of the goods at the port of destination, to lodge claims concerning the quality, quantity or weight of the goods.
