小额贷款公司监管的法律问题研究.doc

中文摘要 从小额贷款公司自在我国诞生以来，进展势头迅猛。对于缓解中小企业融资难，激活农村金融市场，丰富金融谱系都发挥了巨大的作用，一度被称为是金融体制的创新。然而现在的发展状况却并不乐观，所暴露出来的问题比比皆是，究其原因，与现行的法律监管制度有着莫大的关系。诸如监管法律的层次太低，无法满足监管需求；监管体制混乱不堪，不同监管主体之间分权不明；监管内容过于严苛严重制约其发展等等。这些都导致了小额贷款公司的发展遭遇瓶颈，难以实现承继。目前为止，我国对小额贷款公司的法律地位还没有整套的法律框架来界定，也没有完整的监管框架对小额贷款公司实施有效监督。因为我国的小额贷款公司还处于起步阶段,当前小额贷款公司适用的法律法规还不健全，其法律地位也不明确。小额贷款公司是依照《公司法》成立的，但是它的业务主要是金融类服务，但是这些都不能涵盖在现行的《商业银行法》范围之内。其次，不同于大型银行贷款担保有具体明确的规定，小额贷款公司的担保物规定还不清晰，贷款风险就更加严重。在从监督管理方面来看，根据央行、银监会的规定，只贷不存的小额贷款公司不需要像其他银行一样接受银监会的直接监管。这样的规定使得小额贷款公司的监管主体不明，小额贷款公司试点是由人民银行主导的，但是是由当地的政府指定的机构负责，对于小额贷款公司的性质、是否属于金融机构都没有明确定位，那么最后当小额贷款公司遇到金融损失的时候就无法进行合法金融维权，这对小额贷款公司的发展及风险控制都很不利。 在上述内容的基础上，本文通过比较研究了国外小额信贷业务发展较好国家的法律监管制度后认为，凡是小额贷款公司发展好的国家，都有着十分明确的监管主体及监管措施，都给予了小额贷款公司宽松的发展环境；凡是小额贷款公司发展好的国家，都有着十分清晰的法律监管框架及专门的监管法律；凡是小额贷款公司发展好的国家，都将小额贷款公司运营的主要制度及原则通过法律的形式确定下来，使方方面面都有章可循。因此，笔者通过对国外小额贷款公司法律监管的成功经验进行深入地比较分析，试图从中获得启示，以求对如何完善国内的相关制度提出建议，实现小额贷款公司的可持续性发展。 关键词：小额贷款公司；小额信贷；法律监管 Abstract Rapid development of the micro-finance companies comfortable our inception.
