Which produces efficiency but at the same time non-equality between shareholders in essence. In order to amend this defect, it is necessary to endow shareholders with the appraisal right. My country has already provided the appraisal rights of share purchasing of the dissent shareholders by relevant laws to protect the benefit of shareholders. As China is approaching to a mature market economy, the increasingly active transactions of corporation call for the establishment and improvement of the legal protection to minority shareholders. Our company law has already provided this system on the No.75 and No.143 in the rule. Starting from these two provisions, my paper analysis the legislation present situation and system of legislation defects of the appraisal rights of share purchasing of the dissent shareholders, thus proposed establish the measures of the appraisal rights.
