浅析母子公司财务控制存在的问题和解决策略 中文摘要：培育发展一批具有国际竞争力的企业集团是我国经济发展的一项核心性战略任务。企业集团竞争力的增强离不开内部管理水平的提升。尤其对于拥有众多子公司的企业集团，如何发挥母公司的核心作用，如何对子公司进行有效的控制，是当前理论和实务界共同关心的问题。在母公司对子公司的控制过程中，财务控制是最基本也是最重要的内容。有效的财务控制是保证集团整体利益最大的主要手段。然而由于缺少行之有效的财务控制体系，我国许多集团公司并不能充分发挥这种聚合作用，产生了资源的浪费，阻碍了集团发展。因此，集团公司如何全面、灵活、有效地对子公司进行财务控制是一个迫切需要解决的问题。 本文把母公司对子公司的财务控制作为研究的重点，首先论述了母子公司财务控制的必要性、内涵和四个基本内容：资金控制、人员控制、制度控制、业绩评价。其次对财务控制的三种控制模式及其优缺点进行了简要分析，说明了我国现行企业集团大多采用集权和分权相结合的控制模式。通过研究我国母子公司财务控制的现状以及存在的问题，结合四个基本内容分别提出了解决策略。即建立内部财务结算中心以加强资金控制、实行财务人员委派制度以达到人员控制的目的、设立设计委员会和推行管理审计来强化制度控制、业绩评价下提出完善考核和激励机制以激发控制人员积极性。 关键词：母子公司 财务控制 解决策略 Abstract:One of the key strategic tasks of our countrys economic development is ti develop enterprises groups.the enterprise groups competitive power depends on its internal management level.With the establish of the system of parent-subsidiary corporation,how to play the parent companies core roles in the groups and how to control the financial motions of the enterprise groups effectively become a messy problem.Financial control is an important means for a group to control its members.Therefore,financial control becomes the most important controlling means.However, due to the lack of effective financial control system, many of our company and can not fully play the role of this aggregation, resulting in waste of resources and hinder the development of the Group. Therefore, the group how comprehensive, flexible and effective financial control of subsidiaries is an urgent need to address the problem. This article concentrates on the parent’s control of its subsidiaries. First discusses the need for parent companys financial controls and the four basic elements: financial control, personnel control, system control and performance evaluation.
