PAGE I 摘 要 随着经济的发展与企业实体规模的壮大，作为一种最恰当的形式的股份公司应运而生。股权结构与公司治理之间存在紧密联系，股权结构通过影响公司内外治理机制，在很大程度上决定公司治理的有效性。由于各个国家法律和制度、经济及资本市场发育水平、政治文化及历史背景的不同，国际上形成了两种典型的股权结构及相应的公司治理模式。两种模式相互吸收各自的优点，呈现出趋同的趋势。随着经济体制改革的不断深入发展和现代企业制度的建立完善，需要对我国上市公司的股权结构和公司治理进行分析研究。本文正是出于这样的考虑，以股权结构和公司治理为研究对象，对我国上市公司股权结构和公司治理的相关理论、模式、现状以及在我国存在的问题及成因进行了系统的分析研究。我国上市公司的股权结构存在国有股“一股独大”、股权高度集中、未流通股比重过高等突出问题，导致公司治理实践中出现“内部人控制”严重、国有股东代表“缺位”、大股东掠夺侵害中小股东利益等一系列问题产生。通过对上市公司股权结构的具体分析，揭示了上市公司股权结构与公司治理的内在的逻辑关系，最后提出了完善我国上市公司股权结构的对策，建议采用包括“降低国有股比重”、“发展机构投资者”等具体措施优化我国上市公司的股权结构。 关键词：上市公司；股权结构；公司治理 Abstract With the economic development and growth of enterprises’ scale, as the most appropriate from, joint-stock company comes forth. There exists close relation between share ownership structure and corporate governance, share ownership structure determines the validity of corporate governance to a great extent by influencing internal and external mechanism of corporate governance. Because of different laws and systems, developing level of economy and capital market, political culture and historical background in different countries, it has formed two kinds of typical share ownership structure and their corresponding modes of corporate governance, namely American and British mode and Germany and Japanese mode. Two kinds of modes absorb advantages each other and have an inclination of convergence. While learning and drawing lessons from other countries, we should follow our country’s factual condition and set up its corresponding mode of corporate governance. As the development of economic system innovation and modern corporation system, it is necessary to analyze the share ownership structure and corporate governance of listed companies in our country. From this point of view, taking the equity ownership structure and corporate governing as objects, this thesis investigates the relevant theories, models, current situation, and the solvents of problems existing and reasons in our country.
