摘 要 优先股在国外是比较盛行的融资方式，优先股自身优越的特性得到了很多投 资者的青睐，与普通股的配合也完善了公司的治理结构。但是，我国一直没有很 好地引用优先股制度，最近农行、浦发行可能试点优先股的消息被广泛传播，我 国银行业也兴起了优先股的追捧浪潮。因此，本文主要是通过对优先股的介绍及 其在国外的实践经验和国内的实际情况，来研究优先股在我国银行业尤其是国有 银行试行的可行性及具体方案。文章的整体思路如下：首先是要介绍优先股及其 种类、功能，然后介绍我国银行业的主要问题，并研究引入优先股的可行性。在 这一部分，我会重点剖析银行的资产、利润及结构等，并能结合优先股的优越性， 以证实优先股在我国试行的可行性；接着，我会对我国银行业试行优先股提出自 己的方案设计，在设计中，我会明确各部分的具体内容，如转换率怎么设定、是 否加入可转换优先股等，并根据我国的实际情况进行逐个分析，同时我会对试行 阶段可能遇到的问题及困难进行分析，旨在提前有目的的进行规划，减少在实际 的操作过程中遇到的困难。通过对全文的描述，我希望能够将优先股尽早的引入 到我国银行业中，并发挥自己的优势，帮助中国的银行业解决长期的慢性疾病， 如资金短缺、结构不合理等问题，也促进中国的银行业更好的发展，也希望能为 接下来的我国优先股试行工作提供一些理论基础。 关键词：优先股，银行业，资金荒 Abstract The preference stock is one of the prevailing share forms in western countries, which plays an important role as same as common stock does. However, it doesn’t exist in China’s share holding companies as it do widely in western countries. Using the experience of the developing countries and the reality of our country as a reference, therefore, this article is mainly through the introduction of preference shares and practical experience in foreign and domestic actual situation, to study the feasibility and the specific preference shares in our pilot program.
