In consideration of your purchase of export bills with recourse to ourselves, we hereby irrevocably and unconditionally assign all our rights, title and interest in and to the proceeds due to ourselves, under the above mentioned Letter of Credit to you with the following terms and conditions:
关于贵行有追索权买断我司出口单据事宜，我公司现不可撤销和无条件地将我公司在上述信用证项下的所有权益让渡给贵行，具体条款如下：

3.Price Charges（价格和费用）
贴现利率: 贴现利率通常按照伦敦银行同业拆放利率（相应档次libor）加一定利率点数计收，该利率点数根据不同银行、不同地区而有差异。其中贴现天数自应收账款实际买断日（即入客户账日）至应收账款承兑到期日加宽限期；
承诺费：承诺费率通常为1/2贴现利率。其中承诺费为让渡协议签订日后出口商未执行协议的损失费用；
宽限期：宽限期指由于开证行或保兑行或承兑行可能产生的延迟付款期限（一般为3—5天）；
国外银行扣费：指包买银行估计最终收汇金额与承兑金额的差额，即开证行或保兑行或承兑行或偿付行的银行扣费。

4. The Seller represents and warrants to the Bank that
a. The L/C presented by the Seller is valid and includes all amendments thereof.
b. The bills and any and all ancillary documents provided by the Seller are genuine, complete and in strict compliance with the terms and conditions of the L/C and related to the underlying shipment of goods mentioned in the L/C from China to country of destination.
c. The Seller has lawful power and authority to transfer any and all of its right, title and interest to the Bills and the L/C. The Seller shall complete any and all requirements (including limitless endorsement) and procedures necessary for transfer of such right, title and interest.
